Anthropic files S-1 for Nasdaq listing under ANT, discloses $16.3B H1 revenue and 900% NRR
The Claude maker's prospectus shows 14,000 enterprise customers, 250 accounts spending $10M+ annually, and a public yardstick for AI vendor value.
Anthropic filed its Form S-1 with the SEC on Monday, targeting a Nasdaq Global Select Market listing of Class A shares under the ticker ANT, with Goldman Sachs and Morgan Stanley leading the underwriting. The filing is the first full financial disclosure from a frontier AI lab, and it reads less like a prospectus than a pricing manifesto for the entire enterprise AI market.
The headline numbers: $16.3 billion in first-half 2026 revenue, up from $1.2 billion a year earlier, a 1,300% jump. Operating losses narrowed to $693 million from $2.1 billion. Net loss landed at $80.7 billion, almost entirely a noncash charge tied to convertible debt. Share count and price range aren’t set.
The enterprise concentration is where the document earns its weight. As of September 30, Anthropic reported more than 11,900 customers spending $100,000-plus annually, over 1,900 at $1 million-plus, and roughly 250 accounts spending $10 million or more. Total enterprise customers now exceed 14,000. Net revenue retention sits at approximately 900%.
For context, Altimeter Capital’s Jamin Ball told CNBC the median NRR for public cloud software companies as of January was 108%.
That gap is the real disclosure. Anthropic isn’t selling seats; it’s selling depth of use, and the filing shows how. More than half of its $100,000-plus customers now use both the Claude platform and a first-party app like Claude Code or Cowork, up from 30% at the end of 2025. The top 5% of enterprise accounts on Claude Code spend roughly twenty times the average non-coding enterprise user.
The ambition carries a bill. Compute obligations total around $417 billion, with $125 billion to $150 billion in future orders slated for 2028 through 2031. Anthropic has already begun cutting prices on smaller models to defend volume at the base of the stack.
The timing is pointed. OpenAI just cut a round valuation by $150 billion after soft demand. Anthropic is walking into the public window with the one artifact its rivals can’t yet produce: audited receipts for enterprise willingness to pay. Every AI vendor downstream will now be measured against that number, and the small-business tools claiming AI leverage will be measured hardest of all.
